Terms of Service

These Terms of Service govern your access to and use of ScriptPin's website and software. Please read them carefully. By purchasing, downloading, installing, or using ScriptPin, you agree to be bound by these Terms.

Please note: These Terms include a binding arbitration provision and a class-action waiver (Section 13), and important limitations on our liability (Sections 10–11). They affect your legal rights.

Acceptance of Terms

By accessing scriptpin.com or by purchasing, downloading, installing, activating, or using any ScriptPin software or service (collectively, the "Service"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service. You represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

License Grant

Subject to your compliance with these Terms and payment of all applicable fees, ScriptPin grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Service for your own lawful purposes for the term of your license.

A license is bound to your device. Each license entitles you to use the Service on the number of devices specified at purchase. Free trials, where offered, are limited to one per device and expire automatically at the end of the trial period.

Third-Party API Keys & Services

The Service requires you to supply your own credentials ("API keys") for third-party providers, including speech-to-text and AI providers. You are solely responsible for obtaining, securing, and paying for these third-party services, and for complying with their terms.

Acceptable Use & Your Responsibilities

You agree to use the Service lawfully and responsibly. You are solely responsible for your use of the Service and for ensuring that such use complies with all applicable laws, regulations, and third-party rights, including but not limited to:

Payment & Fees

License fees are stated at the point of purchase and are charged as a one-time payment processed by our third-party payment processor. You authorize the processor to charge your selected payment method. All fees are in U.S. dollars unless stated otherwise and are exclusive of taxes, which are your responsibility where applicable. We may change pricing at any time; changes do not affect licenses already purchased.

Refunds — All Sales Final

All sales are final. All fees are non-refundable. The Service is a digital good that is delivered to you electronically and made available for immediate use at the moment of purchase. Under United States law and the law of the State of Maryland, once a digital product has been delivered and access has been granted, the sale is complete and final.

You evaluate before you buy. ScriptPin offers a free 7-day trial that gives you full opportunity to test the Service, confirm it works on your device, and decide whether it meets your needs before you pay anything. Because you are able to fully evaluate the Service at no cost prior to purchase, you acknowledge and agree that the purchase price reflects a fully-informed, final decision, and that no refund will be issued after purchase.

Limited exceptions. Nothing in this section limits any non-waivable right you may have under applicable law. We will issue a refund only where required by applicable law, or in the rare case of a duplicate or erroneous charge. Chargebacks or payment disputes filed in bad faith (for example, after the license has been delivered and used) may result in immediate termination of your license and may be contested with evidence of delivery and use. If you believe a genuine billing error occurred, contact support@scriptpin.com first and we will resolve it promptly.

Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content, and all intellectual property rights therein, are and remain the exclusive property of ScriptPin and its licensors. These Terms grant you a license to use the Service, not ownership of it. The ScriptPin name and marks may not be used without our prior written permission. All rights not expressly granted are reserved.

Indemnification

You agree to defend, indemnify, and hold harmless ScriptPin and its owner, affiliates, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party, including any recording-consent, privacy, employer, platform, or examination rules; (d) any content or data you process through the Service; or (e) your reliance on, or any action you take based on, any AI-generated output. ScriptPin reserves the right to assume the exclusive defense of any matter subject to indemnification, at your expense.

Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your license and access immediately, without notice or refund, if you breach these Terms or use the Service unlawfully. Upon termination, your license ends and you must cease all use and delete all copies of the Service. Sections that by their nature should survive termination (including Sections 8–14) will survive.

Binding Arbitration & Class Waiver

Please read this section carefully — it affects how disputes are resolved.

Any dispute, claim, or controversy arising out of or relating to the Service or these Terms shall be resolved by binding individual arbitration rather than in court, except that either party may bring an individual claim in small-claims court. Arbitration shall be administered under the rules of a recognized arbitration body, conducted in English, in the State of Maryland, United States, unless otherwise required by law.

You may opt out of this arbitration provision by emailing support@scriptpin.com within 30 days of first accepting these Terms, stating your intent to opt out.

Governing Law & Jurisdiction

These Terms, and any dispute arising out of or relating to them or the Service, are governed by and construed in accordance with the laws of the State of Maryland, United States, and applicable United States federal law, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to the binding arbitration provision in Section 13, you and ScriptPin agree that any claim not subject to arbitration shall be brought exclusively in the state or federal courts located in Maryland, and you consent to the personal jurisdiction and venue of those courts. You agree that, regardless of any statute or law to the contrary, any claim arising out of or related to the Service or these Terms must be filed within one (1) year after such claim arose, or be permanently barred, to the fullest extent permitted by law.
